Fund handling

Keeping Options Open page: “Proceeds are wired directly to a segregated escrow account in the name of the QI.” How It Works page: NextPhase “can set up an escrow account on your behalf” and “exchange proceeds are wired to the escrow account in the name of the QI.” The bank is not named, the account is described as titled to the QI (not to the client’s tax ID), and the site does not say whether each client gets a separate account or how disbursements are approved. The same page says funds are held for the full 45 days and “can’t be released early, even at your request.”

Fee structure

Keeping Options Open page: “$1,200 — Flat fee, charged only when we process your exchange,” and “No fee if nothing is identified and your funds are returned.” The page does not say whether bank, wire, or other charges are added, or whether the fee applies to reverse or improvement work.

Who it is for

Oneida, Tennessee QI for investors who want a small, two-partner firm to hold proceeds on a delayed exchange, including investors who want to close with a QI in place before deciding whether to reinvest. Adam Cox is named “Qualified Intermediary, Co-founder & Partner” (accounting background); Chevan Brewster is named “Co-Founder & Partner” (real estate and construction). The site says Adam is “based in the Southeast” and “serves clients nationwide”; FEA’s listing shows Tennessee as the only state where the company does business. Office on the site: 563 Hartco Dr, Oneida, TN 37841. Phone (423) 569-1040. Bond, E&O, bank, disbursement controls, CES®, and a founding year are not published.

Verdict

Small, new Oneida, Tennessee QI (the LLC was formed September 3, 2025, per the Tennessee Secretary of State) run by two named partners, with one of the plainer fee disclosures in the file: a $1,200 flat fee, charged only if the exchange is processed, and no fee if nothing is identified and funds are returned. FEA’s directory lists Nextphase 1031 Exchange, LLC as an active member. That is about where the published custody facts stop. The site says proceeds go to “a segregated escrow account in the name of the QI,” but it names no bank, no fidelity bond, no E&O policy, no dual-signature or client-authorization rule, and no CES®. The intake form offers reverse and improvement/build-to-suit options, but no page explains who would hold parked property, so both stay unknown. DSTs and 721 REIT conversions are offered as replacement routes; the site does not say NextPhase sells them, and FINRA BrokerCheck shows no matching firm. The page titles lean on “DSTs” more than the content does. Weak points: one named QI person, no stated founding year (the blog’s three posts are all dated 3/16/26), a “Client Portal” link that goes nowhere, and different street addresses on the site and in the FEA listing. Before wiring a large sale, ask for the exchange agreement, the bank and exact account title, who must approve each disbursement, current bond and E&O certificates with dollar amounts, and how a reverse or improvement exchange would be structured.

Notes

This is a QI custody file, not a securities offering. NextPhase 1031 Exchange, LLC (Oneida, Tennessee) is a different firm from National Exchange Titleholder 1031 Co. (NExT1031) in Mesa, Arizona. The name is styled three ways: “NextPhase 1031 Exchange, LLC” in the site body and intake form, “Next Phase 1031 Exchange, LLC” in the footer, and “Nextphase 1031 Exchange, LLC” in FEA’s directory. Confirm the named party on the exchange agreement.

QI vs DST: the homepage says NextPhase sets up the exchange before closing, holds the sale proceeds “as your Qualified Intermediary,” and tracks the 45- and 180-day deadlines. The Keeping Options Open page lists a DST or a 721 REIT conversion as replacement routes and says “DST and REIT conversions involve securities and suitability considerations.” The site does not say NextPhase sponsors or sells DST interests, and it names no broker-dealer. A FINRA BrokerCheck firm search on 2026-10-22 for “NextPhase” and “Next Phase 1031” returned no matching firm (only an unrelated Pennsylvania adviser with a “NextPhase Business Planning” trade name). An individual search found no record for Chevan Brewster and no Tennessee-based Adam Cox. dst is yes because the firm publishes DST replacement as a route it will close as QI, not because it sells securities. Several page titles (“Passive Income & DSTs,” “DST Requirements,” “DST Selection”) lean on DSTs more than the page content does.

Custody: the only published custody statements are a “segregated escrow account in the name of the QI” (Keeping Options Open) and an escrow account set up on the client’s behalf in the QI’s name (How It Works). No bank, no account titling to the client’s tax ID, no qualified escrow or trust account, no disbursement-approval rule, no bond, and no E&O are published. fundsHeld is segregated on the firm’s own wording only. dualSignature stays unknown. The Terms of Use say only that “1031 exchange services are subject to formal agreements, documentation, and compliance requirements” and that Tennessee law governs.

Reverse and improvement: the Start an Exchange intake form lists “Reverse Exchange” and “Improvement / Build‑to‑Suit Exchange,” and the contact form lists “Reverse Exchange” as an inquiry type. No page describes an exchange accommodation titleholder, parking entity, or process, so both fields stay unknown.

Fee: $1,200 flat, charged only when the exchange is processed, and no fee if nothing is identified and funds are returned (Keeping Options Open). Who keeps interest on held funds is not stated.

People: Adam Cox is named “Qualified Intermediary, Co-founder & Partner.” His bio describes an accounting career (tax accounting, payroll, nonprofit, fixed assets, cost accounting), says QI work is “a specialized extension” of it, and says he is “based in the Southeast.” Chevan Brewster is named “Co-Founder & Partner,” the real estate and construction partner. The homepage says the firm “was formed as a joint venture” between those two disciplines. No CES®, CPA, or other credential is named, so cesOnStaff is unknown and cesHolders is empty. The FEA listing’s contact email is on a bookkeeping-and-tax-consulting domain, not nextphase1031.com. If Adam Cox or his accounting practice has done your accounting or tax work in the two years before your sale, ask whether that makes the firm a disqualified person under Treas. Reg. §1.1031(k)-1(k) before you sign.

FEA: FEA’s Find a QI Company directory, searched 2026-10-22 for “Nextphase,” returns Nextphase 1031 Exchange, LLC, Oneida TN 37841, 423-569-1040. The member profile shows Member Status “Active,” Member Type “Active Member,” and Tennessee as the only state where the company does business. The profile address is 1226 Toomey Falls Rd, Oneida, TN 37841; the website gives 563 Hartco Dr, Oneida, TN 37841. Ask which is the business office.

Freshness and age: no founding year or exchange count is published. The blog’s three posts are all dated 3/16/26 and cover raw land, luxury cabins, and Airbnb rentals rather than custody. The “Client Portal” and YouTube links go nowhere (#). The single testimonial (“Mark R., Multifamily Investor”) is a firm-published quote, not a rating.

Tennessee record: the Secretary of State business entity search, checked 2026-10-22, lists NEXTPHASE 1031 EXCHANGE, LLC, control number 002047696, a Tennessee limited liability company with an initial filing date of September 3, 2025, status Active, member-managed, with one member. Principal office and registered agent address: 563 Hartco Dr, Oneida, TN 37841; mailing address: 1226 Toomey Falls Rd, Oneida (the address on the FEA profile). Its 2025 annual report was filed March 3, 2026 and records an officer change. The state record shows one member; the website names two co-founders and partners. Ask which person or entity owns the LLC and signs the exchange agreement.

Ask NextPhase 1031 Exchange for the exchange agreement, the bank and exact account title, whether each client gets a separate account under the client’s tax ID, who must approve each disbursement, current fidelity bond and E&O certificates with dollar amounts, and how a reverse or improvement exchange would be held — then read those papers, not this summary.
